Modestly Vendor Terms & Conditions

1. Vendor Account

1.1 Vendors must provide accurate, complete and up-to-date business information during registration.

1.2 Vendors are responsible for maintaining the confidentiality of their account credentials.

1.3 Vendors must promptly notify Modestly of any unauthorised access or suspected security breach.

1.4 Modestly reserves the right to verify any information provided during registration.

2. Product Listings

Vendors agree to:

• List only products that comply with Modestly's Product Standards.
• Provide accurate product titles, descriptions, sizing, pricing and specifications.
• Upload clear, high-quality product images that comply with Modestly's standards.
• Keep product information current.
• Ensure listed products are available for purchase.

Modestly may edit listings for formatting, grammar or consistency without altering the product's material details.

3. Pricing

The Vendor is responsible for setting product prices unless otherwise agreed with Modestly. Prices displayed on the platform must be accurate and inclusive of any applicable taxes where required by law. Artificial price inflation, misleading discounts or deceptive pricing practices are prohibited.

4. Inventory Management

Vendors must:

• Maintain accurate inventory levels.
• Update stock availability promptly.
• Remove unavailable products where necessary.
• Avoid overselling products.

Repeated order cancellations due to stock shortages may result in account review or suspension.

5. Order Fulfilment

Upon receiving an order, Vendors must:

• Confirm the order promptly.
• Dispatch orders within the timelines specified in the Shipping & Returns Policy.
• Package products securely.
• Provide shipment tracking where available.
• Notify customers of any delays.

6. Customer Service

Vendors are expected to provide courteous and professional customer service. Customer enquiries should be responded to within the timeframe specified by Modestly. Vendors must cooperate with Modestly in resolving customer complaints and disputes promptly.

7. Returns and Refunds

Vendors agree to comply with the Modestly Shipping & Returns Policy. Where a return or refund is approved, Vendors shall process it promptly and in accordance with applicable consumer protection laws.

8. Prohibited Products

The following may not be listed on Modestly:

• Counterfeit or replica products
• Illegal or prohibited goods
• Stolen goods
• Products that infringe intellectual property rights.
• Unsafe or defective products.
• Any items prohibited by Modestly from time to time.

Modestly may immediately remove prohibited listings without prior notice.

9. Marketing and Promotions

By listing products on Modestly, Vendors authorise Modestly to promote their products through the marketplace, website, social media, email campaigns and other marketing channels. Participation in promotional campaigns may be subject to additional terms.

10. Vendor Conduct

Vendors shall:

• Act honestly and professionally.
• Treat customers respectfully.
• Avoid misleading or deceptive conduct.
• Not attempt to divert customers away from the Modestly platform.
• Protect the reputation of Modestly.

11. Platform Rights

Modestly reserves the right to:

• Approve or reject Vendor applications.
• Remove products that breach marketplace policies.
• Suspend or terminate Vendor accounts for policy violations.
• Update marketplace features and operational requirements.

12. Confidentiality

Vendors must keep confidential any non-public information obtained through the Modestly platform, including customer information, business processes and commercial information. Customer data may only be used for fulfilling orders and providing customer service.

13. Policy Updates

Modestly may update these Terms & Conditions from time to time. Material changes will be communicated to Vendors through the platform or registered email address. Continued use of the marketplace after the effective date of updated Terms & Conditions constitutes acceptance of those changes.

14. Breach of Terms

Failure to comply with these Terms & Conditions may result in one or more of the following actions:

• Warning notice
• Temporary suspension of listings
• Temporary suspension of Vendor account
• Permanent removal from the marketplace
• Legal action where appropriate

15. Electronic Acceptance

By selecting "I Agree", ticking the acceptance box or otherwise completing the Vendor registration process, the Vendor acknowledges that they have read, understood and agree to be bound by these Vendor Terms & Conditions. Electronic acceptance has the same legal effect as a handwritten signature.
